PAMOJA AFRICA: INDEPENDENT AGENT AGREEMENT

APPOINTMENT AND STATUS

• Independent Contractor: You are appointed as an Independent Referral Agent. This agreement does not create an employer-employee relationship, partnership, or joint venture.
• Self-Managed: You are responsible for your own taxes (SARS), tools (smartphone/data), and transportation.
• Non-Exclusivity: You are free to engage in other professional activities, provided they do not directly conflict with the interests of Pamoja Africa.

AGENT RESPONSIBILITIES

• Onboarding: You will identify and register Subscribers and their “Circle of 5” support communities using your unique Agent Link.
• NFC Distribution: You are responsible for the safe handling and sale of physical NFC Medical Profile Cards.
• Education: You must accurately explain the three pillars of Pamoja Africa (Medical ID, Vouchers, and Crowdfunding) to potential users.
• Geographic Focus: You are assigned to one of our four primary hubs: Johannesburg, Cape Town, Durban, or Port Elizabeth.

COMMISSION AND REMUNERATION

Pamoja Africa operates on a performance-based incentive model:

• NFC Card Commission: You earn R25 for every Medical Profile Card sold at the retail price of R75.
• Voucher Commission: You earn 2% of the value of every prepaid voucher purchased by a subscriber registered through your link.
• Payout Cycle: Commissions are calculated monthly and paid via EFT to your nominated South African bank account by the 5th of the following month.
• Minimum Threshold: A minimum payout threshold of R100 applies.

CODE OF CONDUCT & ETHICS

• Anti-Misrepresentation: You may not promise medical cures, offer medical advice, or guarantee specific healthcare outcomes.
• No Cash Collection: Agents are strictly prohibited from collecting cash for vouchers. All voucher payments must be made directly through the Pamoja Africa App via integrated payment gateways.
• Professionalism: You must represent Pamoja Africa with integrity. Any reports of harassment, intimidation, or fraudulent sign-ups will result in immediate termination.

DATA PRIVACY AND POPIA COMPLIANCE

As an agent, you will have access to personal information. You agree to:

• Confidentiality: Never share, copy, or sell subscriber contact details or medical information.
• Secure Handling: Only enter data through the official Pamoja Agent App.
• Compliance: Adhere strictly to the Protection of Personal Information Act (POPIA). Any data breach caused by agent negligence will be the agent’s legal responsibility.

USE OF BRANDING AND MATERIALS

• Limited License: You are granted a limited right to use Pamoja Africa’s logo, flyers, and digital marketing materials for the sole purpose of recruitment.
• Unauthorized Material: You may not create your own “Pamoja Africa” branded materials (T-shirts, banners, etc.) without written approval from your City Supervisor.

EQUIPMENT AND INVENTORY

• NFC Cards: If you are issued NFC card stock, you are responsible for its safekeeping. Lost or stolen stock must be reported within 24 hours. The cost of lost stock may be deducted from your commissions.
• Device: You are responsible for providing a smartphone capable of running the Pamoja Agent App.

TERMINATION

• At-Will: Either party may terminate this agreement at any time with 7 days’ written notice via the app.
• Immediate Termination: Pamoja Africa reserves the right to terminate your account immediately for:
  • Fraudulent registrations.
  • Theft or misappropriation of funds/inventory.
  • Violation of POPIA or medical data ethics.
• Post-Termination: Upon termination, you must cease using the Pamoja brand and return any unsold NFC stock.

LIMITATION OF LIABILITY

Pamoja Africa is not liable for any injury, loss, or damage incurred by the Agent while performing their duties (e.g., travel accidents or device theft). Agents are encouraged to maintain their own personal insurance.

GOVERNING LAW

This agreement is governed by the laws of the Republic of South Africa. Any disputes shall be mediated through the Pamoja Africa Regional Hub in your respective city.
