PAMOJA AFRICA: PARTNER TERMS AND CONDITIONS

PARTNERSHIP DECLARATION

By ticking the "Accept" box, the entity or individual professional ("Partner") agrees to join the Pamoja Africa healthcare network. The Partner acknowledges that they are a legally registered healthcare provider in South Africa, in good standing with the Health Professions Council of South Africa (HPCSA), the Pharmacy Council, or the Board of Healthcare Funders (BHF).

VOUCHER ACCEPTANCE & REDEMPTION

  • Mandatory Acceptance: The Partner agrees to accept Pamoja Africa Digital Vouchers as a valid form of payment for all medical services, consultations, and medications offered at their facility.
  • Verification: The Partner must use the Pamoja Partner Dashboard to verify the validity of a voucher code before providing services.
  • Value: One (1) Pamoja Voucher unit is equal to its face value in South African Rand (ZAR) and shall be treated as "cash-equivalent" in the Partner's billing system.

SETTLEMENT & PAYMENTS

  • Processing Fee: Pamoja Africa does not charge the Partner a "joining fee." However, a standard transaction processing fee of 12% applies for every voucher purchase through Pamoja Afrika platform. This amount can increase based on a new agreement between Pamoja Afrika and the partner.
  • Payment Cycle: Payment of vouchers are done directly to the partner account through an API linking Pamoja Africa to the Partner. Pamoja Afrika will claim all commission due on the value of vouchers purchased within 72 business hours of each purchase. The partner will pay the commission to Pamoja Afrika via Electronic Funds Transfer (EFT) within 72 business hours of the digital redemption being logged in the portal.
  • Payment commitments: The Partner is responsible to make the payment in time and within the period required above.

DATA ACCESS & THE NFC ECOSYSTEM

  • Emergency Access: The Partner is authorized to scan user NFC Medical Profile Cards to retrieve life-saving data (allergies, blood type, etc.).
  • Data Purpose: Data retrieved must be used strictly for clinical decision-making. Unauthorized copying, sharing, or selling of patient data is a material breach of this contract and a violation of the POPI Act.
  • Security: The Partner agrees to maintain secure digital environments to prevent unauthorized access to the Pamoja Partner Portal.

CLINICAL INDEPENDENCE & LIABILITY

  • Medical Autonomy: Pamoja Africa does not interfere with the clinical judgment of the Partner. All treatment plans are the sole responsibility of the Partner.
  • Indemnity: The Partner shall indemnify Pamoja Africa against any claims of medical malpractice, negligence, or injury resulting from services rendered. Pamoja Africa is strictly a financial and data intermediary.
  • Insurance: The Partner warrants they hold active professional indemnity insurance.

CROWDFUNDING DISBURSEMENTS

  • Direct-to-Provider: For patients using the Pamoja Crowdfunding platform, the Partner acknowledges that funds are paid directly to the Partner’s account to cover the patient’s invoice.
  • Excess Funds: If funds raised exceed the invoice, the remaining balance stays in the patient's Pamoja Wallet as a voucher for future use at any partner clinic.

AGENT & REFERRAL INTERACTION

  • The Agent Network: The Partner acknowledges that Pamoja Agents may refer subscribers to their facility.
  • No Kickbacks: The Partner shall not offer or pay any "kickbacks" or unauthorized incentives to Pamoja Agents to influence referrals. All referrals are based on geographic proximity and patient choice.

AUDIT & COMPLIANCE

Pamoja Africa reserves the right to audit voucher redemption records if fraudulent activity is suspected. The Partner agrees to provide reasonable cooperation and access to billing records related specifically to Pamoja transactions.

TERMINATION

  • By Partner: The Partner may leave the network at any time by providing 60 days' written notice.
  • By Pamoja Africa: We may terminate access immediately if:
    • The Partner’s medical license is revoked or suspended.
    • The Partner consistently refuses valid vouchers.
    • There is evidence of financial fraud or POPIA breaches.

GOVERNING LAW

This agreement is governed by the laws of the Republic of South Africa. Any disputes will be settled in the Magistrate’s Court of Johannesburg.
